1. Acceptance of Terms

If you do not agree with these Terms, you must not access or use the Platform. If you are accessing or using the Platform on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Private Third-Party Service; No Government Affiliation

DataBin Inc and Binning Tax Service are private, for-profit businesses. We provide filing, compliance, payroll, and related support services for a fee. We are not a government agency, and we are not affiliated with any federal, state, or local governmental authority, including but not limited to the IRS, FMCSA, or state taxing authorities.

Any references to government forms, registrations, or filings are solely for identification and informational purposes. You may always choose to file directly with the appropriate government agency instead of using our services.

3. Eligibility and User Responsibilities

The Platform is intended for users who are at least eighteen (18) years of age and capable of entering into a binding contract. By using the Platform, you represent and warrant that:

  • You are at least 18 years old; and
  • You have full power and authority to accept these Terms on your own behalf or on behalf of the business you represent.

You are solely responsible for:

  • Obtaining and maintaining all equipment, software, and internet access needed to use the Platform; and
  • Ensuring that anyone who uses the Platform through your account or devices is aware of and complies with these Terms.

4. Description of Services

Through the Platform, we may provide, among other things:

  • Business compliance and filing assistance (e.g., entity registrations, updates, and related filings where applicable).
  • Payroll setup, support, and related compliance services for business owners and officers.
  • Tax preparation, consultation, and related services within our scope of practice.
  • Data and document collection, status checks, and reminders related to upcoming filing requirements.

The specific services available to you may vary over time and by jurisdiction. We reserve the right to modify, add, or discontinue any service at our sole discretion.

5. Orders, Information Accuracy, and Authorization

When you submit an order, service request, intake form, or payment (collectively, an "Order"), you agree to provide complete, current, and accurate information. Our ability to perform services depends entirely on the information you provide.

By submitting an Order, you:

  • Authorize us to use the information you provide to prepare and submit filings or applications on your behalf.
  • Represent that all information you provide is true, correct, and complete to the best of your knowledge.
  • Understand that errors, omissions, or misrepresentations in the information you provide can result in delayed or rejected filings, penalties, or other consequences.

6. Fees, Billing, and Payments

Service fees will be disclosed at or before the time you place an Order. By placing an Order, you agree to pay all applicable fees, taxes, and charges associated with that Order according to the pricing in effect at the time of purchase.

You authorize us (and our payment processors) to charge the payment method you provide for all services ordered. You are responsible for maintaining valid and up-to-date billing information and for promptly paying any outstanding amounts.

7. No Legal, Tax, or Investment Advice

Unless explicitly stated in a separate written engagement agreement, the services offered through the Platform do not constitute legal, tax, or investment advice. Any information provided is for general informational and educational purposes only and should not be relied upon as a substitute for advice from a licensed attorney or CPA familiar with your specific situation.

You are solely responsible for determining how laws, regulations, and guidance apply to your business and for consulting your own professional advisors where appropriate.

8. No Guarantee of Government Approval

We will use commercially reasonable efforts to prepare and submit filings based on the information you provide. However, we do not control government agencies or their decisions, and we cannot guarantee:

  • That any filing, application, or registration will be approved;
  • That any filing will be processed within a particular time frame; or
  • That you will avoid penalties, audits, or enforcement actions.

If government authorities require corrections, clarifications, or additional information, we may assist with those requests, but the responsibility for underlying compliance always remains with you.

9. Refunds and Cancellations

Because our services involve professional time, analysis, and often immediate work on your behalf, many fees are non-refundable once work has begun. Any refund or cancellation policies will be described on the Platform or in your Order confirmation. To the extent permitted by law, all refunds are provided at our sole discretion and may be conditioned on documented proof of error.

10. Platform Availability and Changes

We may modify, suspend, or discontinue all or any part of the Platform or any service at any time, with or without notice. We will not be liable if, for any reason, the Platform is unavailable for any period of time.

11. Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES, CONTENT, AND MATERIALS ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be error-free, uninterrupted, secure, or free of harmful components, or that any results obtained will be accurate or reliable.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DATABIN INC, BINNING TAX SERVICE, THEIR OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM OR SERVICES.

TO THE EXTENT WE ARE FOUND LIABLE NOTWITHSTANDING THE ABOVE, OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM OR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID DIRECTLY TO US FOR THE SPECIFIC SERVICE AT ISSUE, OR ONE HUNDRED DOLLARS (US $100), WHICHEVER IS LESS.

13. Indemnification

You agree to indemnify, defend, and hold harmless DataBin Inc, Binning Tax Service, and their respective owners, officers, employees, and contractors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Platform or services;
  • Your breach of these Terms or any applicable law; or
  • Any information, data, or content you provide to us.

14. Dispute Resolution and Arbitration

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or our services will be resolved by binding arbitration on an individual basis, rather than in court, except that you and we may bring qualifying claims in small claims court.

The arbitration will be conducted by a single neutral arbitrator under the rules of a recognized arbitration provider. The seat and governing law for arbitration will be the state and county where our principal office is located, unless otherwise required by law.

Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING WILL BE LIMITED TO YOUR INDIVIDUAL DISPUTE AND WILL NOT BE JOINED WITH ANY OTHER CLAIM, INCLUDING ANY CLASS OR REPRESENTATIVE PROCEEDING. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.

15. Governing Law

These Terms, and any dispute arising out of or related to them, will be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice-of-law principles that would require the application of laws of a different jurisdiction.

16. Changes to These Terms

We may update or modify these Terms at any time by posting the revised version on the Platform with an updated "Last Updated" date. Changes are effective when posted, and your continued use of the Platform after the changes become effective constitutes your acceptance of the revised Terms.

17. Entire Agreement and Severability

These Terms, together with our Privacy Policy and any additional terms presented with a specific service or Order, constitute the entire agreement between you and us regarding the Platform and services and supersede any prior or contemporaneous understandings or agreements.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
